Terms of Service

2.1 Fiara may allow users to:
- interact with preconfigured or user-configured AI Companions;
- generate or receive text, images, audio, video and other digital content;
- create character profiles using selected attributes and preferences;
- create a Digital Twin where the feature is available and the required verification is completed;
- purchase one-time packages of Fiara Credits or other one-time digital entitlements;
- save preferences and content within an account;
- use other features made available from time to time;
- publish content you created and earn from it through the Creator Program (Section 4A).

2.2 Features, models, limits, Credit costs, package prices and availability may differ by country, account status, Credit balance or technical capacity. We may add, change, suspend or discontinue a feature where reasonably necessary for safety, legal compliance, security, maintenance, provider availability or product development.

2.3 Fiara is intended for personal use. You may publish and earn from content only through the Creator Program in Section 4A. You may not resell, sublicense, white-label, scrape or otherwise commercially exploit the Service or Output without written permission.

2.4 Availability. The Service is offered only in the United Kingdom, Australia and Chile. Access from other countries is blocked, and you must not use a VPN, proxy or other means to access it from elsewhere.

3.1 You must provide accurate and current information and use an email address, authentication method and payment method that you are authorised to use.
You may register with an email address or sign in with your Google or X account. If you sign in that way, you must keep that account secure, and we are not responsible for the provider's service.

3.2 You are responsible for protecting your credentials and for activity carried out through your account. You must notify support@fiara.ai promptly if you suspect unauthorised access.

3.3 Accounts are personal and may not be sold, rented, transferred or shared. We may limit multiple accounts, coordinated abuse or attempts to evade restrictions.

3.4 We may refuse registration, restrict features, request re-verification, suspend access or close an account where we reasonably believe that:
- the user is underage or cannot establish eligibility;
- account information is false or misleading;
- the account is connected to fraud, chargebacks, abuse or policy circumvention;
- use presents a legal, payment, security or Trust & Safety risk; or
- continued access would breach law, these Terms or a third-party obligation.

4.1 “Digital Twin” means an AI-generated character or output configured using images, voice, video, biometric-like characteristics or other information associated with an identifiable real person.

4.2 You may create a Digital Twin only of yourself. Before it is activated you must: be at least 18; complete identity verification (a government-issued ID and a liveness check); upload only material that shows you alone and that you have the right to use; and give the separate consents we request for creating the Digital Twin, generating explicit content and using your voice. Every uploaded image is compared with your verified identity, and every Digital Twin is reviewed by Fiara before activation.

4.3 You must not create or attempt to create a Digital Twin of any other person, including a partner, former partner, acquaintance, performer, celebrity, public figure or a person shown in material found online, even if that person agrees.

4.4 You may withdraw any of these consents at any time in your account settings. Generation that relies on a withdrawn consent stops immediately.

4.5 We may reject, restrict, label, remove or disable a Digital Twin where consent cannot be verified, a complaint is received, the likeness is disputed, the source appears manipulated or stolen, or continued processing creates a legal or safety risk.

4.6 Any person who believes their likeness has been used without permission may request review, restriction or removal through the Content Removal, Reporting & Complaints Policy.

4A.1 Verified users ("Creators") may publish content created with Fiara to other users of the Service and earn from it, under these Terms and the Creator Agreement.
4A.2 To become a Creator you must complete identity verification, accept the Creator Agreement and provide the payout and tax information we request. Payouts are made only to the verified account holder.
4A.3 You may publish only content depicting Fiara's fictional AI Companions or your own verified Digital Twin. You must not publish content depicting any other real person.
4A.4 Every item is reviewed by Fiara before it is published. We may refuse, remove or restrict any item, and published content remains subject to Section 6 and to reporting and removal procedures.
4A.5 Published content carries Fiara's AI-generated label and watermark, is visible only to age-verified adults within the Service, and must not be presented as depicting real events or a real person other than you.
4A.6 Earnings, payout timing and taxes are set out in the Creator Agreement. Earnings linked to removed content, fraud, refunds or chargebacks may be withheld or reversed.

4B.1 You may invite others using your personal referral link. If a person who signs up through your link completes their first paid purchase, and that purchase is not refunded or charged back within 30 days, you receive free Credits worth 20% of the price paid for that purchase, excluding taxes. The reward applies to that first purchase only.
4B.2 Referral Credits are promotional Credits: they have no cash value, expire 30 days after they are issued and cannot be transferred or paid out. We limit rewards to 10 per referrer per calendar month. We exclude referrals that share an email address or purchase IP address with you, and rewards linked to refunds, chargebacks or fraud may be withheld or reversed.
4B.3 You must not use spam, misleading claims, paid ads on Fiara's brand terms or content that is directed at minors, and you must tell people that Fiara is an adult service for people aged 18 or over.
4B.4 Referral rewards are not Credits and are not a discount for the invited person ⟨unless a discount is shown at checkout⟩.

5.1 “Input” means prompts, messages, files, images, audio, video, feedback, settings and other material submitted through your account. “Output” means content generated in response to Input. Input and Output are collectively “Content”.

5.2 You retain ownership of rights you already hold in your Input. You represent and warrant that you have all permissions, licences and lawful bases required to provide the Input and permit its processing under these Terms and the Privacy Policy.

5.3 You grant Fiara a non-exclusive, worldwide, royalty-free licence to host, reproduce, store, process, adapt, transmit and otherwise use your Input only to the extent reasonably necessary to:

provide, operate and secure the Service;
generate the Output requested by you;
create, configure, fine-tune and operate your user-specific Digital Twin, where applicable;
detect, prevent, investigate and respond to fraud, security incidents, illegal activity and violations of these Terms or Fiara’s policies;
moderate Content and enforce applicable restrictions;
maintain, test, secure, debug and improve the technical performance, safety and reliability of the Service in accordance with Section 5.4 and the Privacy Policy;
comply with applicable law, regulatory obligations, court orders and lawful requests from competent authorities;
perform any additional purpose to which you have separately and expressly agreed;
display Content you choose to publish under Section 4A to other users of the Service.

This licence does not transfer ownership of your Input to Fiara. It continues only for as long as reasonably necessary to provide the Service and fulfil the purposes described above, subject to any limited retention required by law, security, fraud prevention, dispute resolution, backup cycles or the defence of legal claims.

5.4 Fiara does not use private conversations, uploaded source materials, Digital Twin materials or private generated Output to train general-purpose or shared AI models.

Where you choose to create a Digital Twin, Fiara and its service providers may process the photographs, videos, audio, voice recordings, prompts and other materials provided by you solely to create, configure, fine-tune and operate a user-specific model, embedding or profile for your Digital Twin.

A user-specific Digital Twin model, embedding or profile will remain associated with the relevant user account and will not be used to train models made available to other users.

Fiara may use aggregated, de-identified or appropriately minimised data, technical logs, moderation signals, performance data and user feedback to measure use of the Service and improve its safety, reliability, functionality and quality, as described in the Privacy Policy.

Fiara will not use private Content for broader or general model training unless you have provided separate, specific and informed consent through a clear opt-in mechanism. Any such consent may be withdrawn in accordance with the Privacy Policy.

Content you publish under Section 4A is not used to train general-purpose or shared AI models either.

5.5 Subject to these Terms and to the extent Fiara owns or can license applicable rights, Fiara grants you a limited, revocable, non-exclusive licence to use Output for personal purposes and, if you are a Creator, to publish it within the Service under Section 4A. Output may not be legally protectable, may not be exclusive, and may include elements similar to third-party content. You are responsible for evaluating Output before using, publishing or relying on it.

5.6 You must not remove AI labels, provenance data, safety markings, watermarks or notices where removal is prohibited by law or policy.

5.7 Fiara and its licensors retain all rights in the Service, software, models, interfaces, brand, documentation, preconfigured characters and platform content. No right to source code, model weights, datasets or proprietary systems is granted.

5.8 Sensitive personal data. You acknowledge that your use of the Service may involve the processing of information revealing your sexual preferences and sex life, which constitutes a special category of personal data under applicable data protection law. Such processing is carried out on the basis of your explicit consent, which is requested separately from your acceptance of these Terms and which you may withdraw at any time through Account > Settings > Privacy & Data. Withdrawal of consent will result in deletion of the associated data and may prevent continued use of affected features. Full details are set out in the Privacy Policy.

The following is prohibited on Fiara. You must not:
- use the Service if you are underage or help an underage person gain access;
- create, request, possess, distribute or attempt to create content involving minors or age-ambiguous persons;
- create or request content depicting incest, bestiality or necrophilia;
- generate or share non-consensual intimate imagery, sexual violence, exploitation or trafficking content;
- create or publish content depicting any real person other than yourself through your own verified Digital Twin;
- use the likeness of celebrities, public figures or private individuals in prohibited circumstances;
- infringe copyright, trademark, privacy, publicity, data-protection or other rights;
- submit malware, malicious code, stolen credentials or personal data obtained unlawfully;
- harass, threaten, blackmail, dox, defraud or manipulate another person;
- promote terrorism, hate, violent extremism, extreme violence or gore, serious self-harm or criminal conduct;
- reverse engineer, extract, scrape, overload or interfere with the Service;
- bypass geoblocking, age controls, safety filters, moderation, rate limits, payment controls or account restrictions;
- use automated systems to create accounts or access the Service without authorisation; or
- use the Service in a country where the Service or requested content is unlawful.

7.1 Fiara may apply automated and human review to account signals, uploaded material, prompts, generated Output, reports and other activity. Moderation may occur before generation, before display, after generation or after a user or third party reports content.

7.2 When a potential violation is detected, Fiara and authorised service providers may access and review relevant Content and account information in accordance with the Privacy Policy. Measures may include blocking a request, modifying or refusing Output, age or identity re-verification, limiting features, removing content, disabling a Digital Twin, suspending or terminating an account, preserving evidence or reporting suspected illegal content to competent authorities.

7.3 We may act without advance notice where immediate action is reasonably necessary to protect people, preserve evidence, prevent evasion, comply with law or address a serious security or payment risk.

7.4 We will tell you the reason for a moderation decision and how to appeal, unless this would put a person at risk or compromise an investigation. Appeals are reviewed by a person not involved in the original decision.

7.5 Enforcement for policy violations does not create an entitlement to a refund, except where required by law or the Billing & Refund Policy.

You can report content using the "Report" button on any message, image, video or voice note, or by email to legal@fiara.ai. How reports are handled, response times and appeals are set out in the Content Removal, Reporting & Complaints Policy. Knowingly false or abusive reports may lead to restrictions.

Response times:
- reports concerning suspected child sexual abuse material, non-consensual intimate imagery or an unauthorised real-person likeness are prioritised and reviewed within 24 hours;
- all other reports are acknowledged within 2 business days and reviewed and resolved within 7 business days. Content confirmed as illegal or non-consensual is removed or disabled immediately.

9.1 Paid features are offered at launch through one-time purchases of Fiara Credits or other one-time digital entitlements. Checkout will show the selected package, Credit quantity, total price, currency, taxes, payment method, merchant identity, statement descriptor and applicable refund or withdrawal information before purchase.

9.2 Fiara does not offer recurring subscriptions, automatic renewal or automatic top-ups at launch. Each purchase must be actively initiated and confirmed by the user and authorises only the one-time charge displayed at checkout.

9.3 Payments are processed by third-party providers. Fiara does not intend to store full card numbers and will not offer commercial stored-card or one-click purchasing at launch. Any future stored-payment feature will require a separate intentional opt-in and an online method to remove or amend the credential.

9.4 Tokens and credits:
- have no cash value and are not legal tender;
- may be used only within the account and for eligible Fiara features;
- may not be sold, transferred or exchanged unless Fiara expressly permits it;
- purchased Fiara Credits do not expire unless a different rule is clearly disclosed before purchase and permitted by law;
- may be removed following a refund, chargeback, fraud finding or policy breach; and
- remain available until used or the account is deleted, subject to valid refunds, chargebacks, fraud controls and mandatory law.

9.5 Further conditions appear in the Billing & Refund Policy, which form part of these Terms.

9.6 Payment disputes. If you do not recognise a charge or believe a charge is incorrect, please contact support@fiara.ai. We aim to resolve billing queries within 7 days. Contacting us first is optional and does not limit your right to contact your bank or card issuer. While a chargeback is under review, we may temporarily suspend the Fiara Credits purchased with the disputed transaction. Where a chargeback is found to be fraudulent, we may restrict the account and recover losses to the extent permitted by law.

10.1 Because Fiara uses one-time purchases at launch, there is no subscription or automatic renewal to cancel.

10.2 You may stop using Fiara at any time. Stopping use does not automatically refund unused Credits or reverse a completed one-time transaction.

10.3 You may request account deletion through ACCOUNT > SETTINGS > PRIVACY & DATA > DELETE ACCOUNT . Deleting an account may permanently remove saved Content, Digital Twins, unused Fiara Credits, other entitlements and account settings. Data may be retained where legally required or reasonably necessary for disputes, fraud prevention, safety and enforcement, as explained in the Privacy Policy.

10.4 Account deletion is separate from requesting a refund or disputing a payment. Deleting the account does not automatically reverse a completed purchase and may remove the ability to use any remaining Credits.

Refunds and statutory withdrawal rights are governed by the Billing & Refund Policy and applicable consumer law. Nothing in these Terms limits rights that cannot lawfully be excluded. Complaints may be submitted under the Content Removal, Reporting & Complaints Policy.

We may send transactional messages about account security, purchases, billing, refunds, payment disputes, moderation, policy changes and essential Service operation. Marketing communications are sent according to your choices and may be unsubscribed from without affecting essential messages.

The Service may depend on payment processors, identity-verification providers, model providers, sign-in providers (Google, X), cloud infrastructure, analytics, communications tools and external links. Third-party terms may apply. Fiara is not responsible for an independent third party’s service, content or conduct, but this does not limit liability that cannot be excluded by law.

14.1 We do not guarantee uninterrupted availability. Maintenance, outages, model changes, safety incidents, provider restrictions and legal requirements may affect the Service.

14.2 We may terminate or restrict your account for breach, risk, illegality, inactivity, non-payment or discontinuation of the Service. Where appropriate and lawful, we will provide notice and an opportunity to export or delete eligible data.

14.3 You may terminate these Terms by stopping use and, if desired, deleting your account. Stopping use or terminating these Terms does not automatically refund a completed purchase.

To the maximum extent permitted by law, the Service is provided “as is” and “as available”. Fiara does not warrant that the Service will be uninterrupted, secure, error-free, accurate or suitable for any particular purpose. These disclaimers do not affect mandatory consumer guarantees or liability that cannot be excluded.

16.1 Nothing in these Terms excludes or limits liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, breach of mandatory data-protection obligations, wilful misconduct or any liability that cannot legally be limited.

16.2 Subject to Section 16.1 and to the maximum extent permitted by law, Fiara will not be liable for indirect or consequential loss, loss of profit, business, opportunity, goodwill, data or anticipated savings arising from use of the Service.

Where permitted by law and excluding consumers to the extent prohibited, you agree to indemnify Fiara against third-party claims arising from unlawful Input, lack of consent for a Digital Twin, infringement of third-party rights, prohibited publication or commercial use of Output, or material breach of these Terms.

These Terms are governed by the laws of Cyprus, without depriving consumers of mandatory protections in their country of residence.
If you are a consumer, you may bring proceedings in the courts of Cyprus or in the courts of your country of residence. Information about consumer dispute-resolution bodies is set out in the Content Removal, Reporting & Complaints Policy.

Before filing a claim, you may contact legal@fiara.ai so that we can attempt to resolve the issue. This informal step does not restrict statutory deadlines or rights to approach a regulator, court or dispute-resolution body.

We may update these Terms to reflect legal, safety, technical or commercial changes. The revised version will show a new revision date. We will provide additional notice where a change is material or where law requires it. Continued use after the effective date constitutes acceptance only to the extent permitted by law.

If a provision is invalid or unenforceable, the remaining provisions remain effective. A failure to enforce a provision is not a waiver. These Terms and the incorporated policies form the agreement regarding the Service, except for separate written terms expressly agreed with Fiara. You may not assign your rights without our consent; Fiara may assign these Terms as part of a merger, restructuring, financing or sale, subject to applicable law.

This Creator Agreement ("Agreement") is between Catalyx Partners Cyprus LTD (company number HE 495938, Agapinoros & Makariou III, 1076 Nicosia, Cyprus; "Fiara") and you, the individual who applies to or participates in the Fiara Creator Program ("Creator"). It supplements the Terms of Service (Section 4A) and the Privacy Policy. If they conflict on a Creator matter, this Agreement applies.

1. STATUS
1.1 You act as an independent business person. Nothing creates an employment, partnership, agency or joint venture relationship.
1.2 You decide what to create within this Agreement. Fiara decides what is published on its Service.

2. ELIGIBILITY AND ONBOARDING
2.1 You must be at least 18, have completed age assurance and full identity verification through Incode third-party system (government-issued ID and liveness check), and be able to receive payments in your own name.
2.2 You must give accurate payout and tax details and keep them current. We may re-verify you at any time.
2.3 One Creator account per person. Accounts cannot be shared, sold or transferred.
2.4 Fiara may refuse or end participation in the Creator Program at its discretion, subject to Section 13.

3. WHAT YOU MAY PUBLISH
3.1 You may publish only:
(a) content that you created on Fiara depicting Fiara's fictional AI Companions; and
(b) content depicting your own verified Digital Twin.
3.2 You must not publish content that depicts any other real person, is prohibited under Section 6 of the Terms of Service, involves or appears to involve a minor, or infringes third-party rights.
3.3 All published content carries Fiara's AI-generated label, watermark and provenance data, which you must not remove.
3.4 You must not publish contact details, links to other platforms or offers to sell content or services outside Fiara, and you must not ask users to pay you outside the Service.

4. REVIEW AND MODERATION
4.1 Every item is reviewed by Fiara before it is published. Fiara has no duty to publish any item and may refuse, remove, restrict or demote content at any time, in line with the Terms and the Content Removal, Reporting & Complaints Policy.
4.2 Published content may be reported by anyone. We handle reports within the times in that Policy and may disable content immediately while a report is reviewed.
4.3 We will tell you the reason for a decision and how to appeal. Appeals are reviewed by a person not involved in the original decision.

5. LICENCE
5.1 You keep the rights you own in your content, including your likeness.
5.2 You give Fiara a non-exclusive, worldwide, royalty-free licence to host, reproduce, display, adapt (including cropping, resizing, watermarking and format conversion) and promote your published content within the Service, for as long as it is published and for a reasonable period afterwards for backup, legal and safety purposes.
5.3 Fiara and its licensors own the AI Companions, characters, models, software and brand. Publishing content that shows an AI Companion does not give you any right in the character beyond use within the Service.
5.4 Your published content is not used to train general-purpose or shared AI models.

6. EARNINGS
6.1 Your "Earnings" are a percentage of the net revenue from Credits that other users spend to access, unlock or tip your published content. Net revenue means the money value of those Credits, which is the price actually paid for them, minus taxes (including VAT, GST and IVA), payment-processing and chargeback fees, and refunds.
6.2 Earnings accrue when the related payment is final (see Section 8). You can see your Earnings, and how they were calculated, in your account.
6.3 You cannot earn from your own purchases, purchases by accounts you control, or artificially generated activity. Such amounts are removed.
6.4 We do not guarantee that you will earn any amount. Earnings depend on what users choose to pay for.

7. PAYOUTS
7.1 We pay your available Earnings once a month, once they have reached USD 20, in US dollars, through the payout provider shown in your account, converted at our provider's rate on the day of payout.
7.2 Payouts go only to a bank account or wallet in your own verified name. We do not pay third parties.
7.3 We may delay a payout while we complete checks, investigate a suspected breach, or comply with law. We tell you why, unless this would compromise an investigation.
7.4 Fees charged by our payout provider are deducted from your payout, and we show the amount before you confirm. You are responsible for currency-conversion and other fees charged by your bank.

8. WITHHOLDING AND REVERSALS
8.1 Earnings are treated as available only after 30 days from the payment, to allow for refunds and chargebacks.
8.2 We may withhold, reduce or reverse Earnings, and offset them against later Earnings, where:
(a) the related content is removed for breaching the Terms or this Agreement;
(b) the related payment is refunded, charged back or found to be fraudulent;
(c) the Earnings result from breach of Section 6.4; or
(d) we have been paid in error.
8.3 If an amount has already been paid out, you must repay it within 14 days of our request. We may deduct it from future Earnings.
8.4 Earnings are not Credits, are not a deposit and bear no interest.

9. TAXES
9.1 You are responsible for all taxes on your Earnings and for registering where required.
9.2 Fiara may collect tax information, report your Earnings to tax authorities where the law requires it, and deduct or withhold taxes where the law requires it.
9.3 Amounts in this Agreement are stated before any such deduction unless we say otherwise.

10. YOUR PROMISES
You promise that:
(a) all information you give us is true;
(b) you have all rights needed to publish your content and to give the licence in Section 5;
(c) any likeness shown is yours, you have consented to it, and the consent is in force;
(d) your content does not breach any law or third-party right; and
(e) you will follow the Terms and this Agreement.

11. CONDUCT
You must not manipulate rankings, earnings or reviews; use bots or other automated means; harass or pressure users; or try to identify, contact or solicit other users outside the Service.

12. DIGITAL TWIN CONTENT
12.1 If you withdraw consent to your Digital Twin or to explicit content, we stop generating the content that relied on that consent and take down your published content of that type within 24 hours.
12.2 If a person reports that your Digital Twin content shows them, or a person other than you, we disable it immediately while we review it.
12.3 Earnings that have already accrued on that content remain payable, subject to Section 8.

13. SUSPENSION AND TERMINATION
13.1 We may suspend or end your participation immediately for a serious breach, suspected fraud, legal risk, or a request from a regulator, payment provider or law-enforcement body. For other reasons, we give 14 days' notice.
13.2 You may leave at any time by writing to legal@fiara.ai or closing your Creator account.
13.3 On ending, your content is unpublished and we pay out your available Earnings within 30 days, less amounts under Section 8. If the threshold in Section 7.1 has not been reached, we pay them anyway.
13.4 Sections 5.4, 8, 9, 10, 14 and 15 continue after ending.

14. LIABILITY
14.1 Nothing limits liability that cannot be limited by law.
14.2 Subject to that, Fiara is not liable for lost profits, lost opportunities or indirect loss, and its total liability to you under this Agreement is limited to the Earnings payable to you in the 12 months before the claim.
14.3 You will compensate Fiara for third-party claims and losses arising from your breach of Sections 3 or 10.

15. GENERAL
15.1 We may change this Agreement. For changes to the revenue share, payout terms or fees, we give at least 30 days' notice, and you may leave before they take effect.
15.2 This Agreement is governed by the laws of Cyprus. Disputes go to the courts of Cyprus, without depriving you of any mandatory right you have where you live.
